MGM Resorts Faces Shareholder Probe Over Diller's $48.30 Bid
MGM Resorts International is the subject of a shareholder investigation tied to the unsolicited offer to take the casino operator private. People, Inc., which is MGM's largest single stockholder and is controlled by board member Barry Diller, bid $48.30 per share on June 1 for the stock it does not already own.
The law firm reviewing the transaction has raised questions about the process, given Diller's dual role as a director and as the controlling party behind the bidding entity. Such investigations are routine when a controlling or affiliated shareholder proposes to buy out minority holders, and they typically focus on whether the special committee process and price are adequate.
The corporate development sits alongside a steady operating picture. MGM reported second-quarter revenue of $4.45 billion, slightly ahead of estimates, with adjusted earnings of 59 cents per share. Management has continued to point to an improving Las Vegas outlook for 2026 while investing in luxury property upgrades and digital expansion.
